This page contains the Terms of Use and Service Agreement between Accurate Services LLC, and the user of this website and/or buyer of any product or services offered on this website (i.e. “You”). These terms and conditions are effective from the date of electronic acceptance or your use or purchase. By accessing this website as a requirement or a choice to you being able to use any of the tools, functions, and services offered by this website along with being able to subscribe to any service, purchase any product or service, and view any text or graphics on this website; you acknowledge that you have read, understood and agree to be bounded by each and every one of the terms and conditions mentioned in this Agreement. In the event that you do not agree to any of these terms and conditions, you must leave this website immediately, and may not retain or purchase any service, service plan or product offered on this website.

Accurate Services LLC may, in its sole discretion and without any notice to you, change or modify any of the terms or conditions of this Agreement that will be effective upon posting on this website. Your continued use of this website after the changes to this Agreement are posted constitutes your acceptance of the amended terms and conditions.

Eligibility

This website and the products and services offered by this website are only available to those who can form binding contracts under applicable law. You represent and warrant that “You” are eligible to form a binding contract on your own behalf and on behalf of any individual or entity for whom you are accessing this website. You must be over the age of eighteen (18) to access or use any of the tools, functions, and services offered to You by this website, to subscribe to any service, purchase any product or service, and view any text or graphics on this website.

Availability of Services

Services may be purchased on a fee-for- service basis or on a subscription basis. In order to access services, you must submit a service order through the Accurate Services LLC portal or by calling Accurate Services LLC. The Accurate Services LLC personnel will then confirm whether the requested service is related to the registered computer or otherwise covered by the Service Plan, and send an e-mail to the registered e-mail address with instructions for obtaining service.

The service performed or accessed on a fee-for-service basis will address a single issue or problem reported, on your personal computer. For services performed on a subscription basis, you will be entitled to the service of issues or problems that fall within the Scope of Services set forth below, for a specified period of time.

Scope of Services

Accurate Services LLC will act in all commercially reasonable ways to establish the nature of the problem(s) or issue(s) on a registered computer for a registered user and to locate, analyze and fix those errors, problems or issues, including the following:

Service Plans do not include services for any of the following:

Any type of hardware support, replacement problems or issues for which service was not requested during the time period of the Service Plan, problems or issues that may not be resolved due to physical damage to your computer or other peripherals, or configuration that is beyond our control, problems or issues with software, including the operating system and software added to the registered hardware products.

We also do not cover support services for problems resulting from:

1 :- External causes such as accident, abuse, misuse, or problems with electrical power; 2 :- Usage that is not in accordance with product instructions provided by the product manufacturer; 3 :- Usage of accessories, parts, or components that are not compatible with the product; 4 :- Non-Compliance with the Accurate Services LLC engineers instructions for resolving the problem; 5 :- Malfunction of hardware such as power supply, memory, processor, monitor or any other such hardware components; 6 :- Failure to follow the product instructions provided by the manufacturer or failure to perform preventive maintenance.

Accurate Services LLC may, but has no obligation to, monitor and record the service session, including telephone calls and online sessions for purposes of improving customer service, internal training, and internal market research. You hereby grant permission to Accurate Services LLC to monitor and record the services and to use or disclose any information related to you as necessary or appropriate to satisfy any law, regulation or other governmental requests; to provide the services to you or other users; to protect ourselves and/or other users; and to enhance the types of services we may provide to you in the future. You also grant Accurate Services LLC permission to combine your information with that of others in a way that does not identify you or any individual personally, for improving our services, for training, marketing, and promotional purposes, and for other business purposes.

Minimum Requirements For Services

In order to receive services to a registered computer, the registered computer must be connected to the Internet via a broadband or high-speed connection to receive services instantly, throughout the whole time the service is rendered. You must also have registered valid software of MS Windows 2000 or XP, or any latest version, installed as your system’s operating software during all service periods. Your computer must be connected and operating while Accurate Services LLC is conducting repair, diagnosis, or downloading software or otherwise installing repair-related materials. You must allow us to download and install recommended software on your PC (including software that will require you to pay a licensing fee if ample freeware is not available),and you also will be responsible for all licensing fees and registrations for the same. You also agree that we may remove any software that is creating conflicts or is otherwise determined by us to be harmful or otherwise disruptive to the appropriate efficiency or working of your computer. We will endeavor to gain your prior approval before we install software or delete software, but you agree that we may install and/or delete software at our sole discretion without your prior approval if we deem it, in our exclusive discretion, in order to be necessary to perform the services uninterruptedly. You agree to hold us harmless from any loss/failure of any type relating to our installation and/or deletion of software on your computer.

If you have MS Vista installed on your computer, you may be required to disable your User Account Control (UAC). If you do render inoperative UAC, you understand that your computer may be vulnerable to malware and other harmful programs and scripts during the short period when we are accessing your computer. You also agree to hold us harmless from any failure and/or losses of any sort arising from this susceptibility of your computer due to temporary disabling of your UAC or your failure to correctly and promptly re-establish your UAC protections. You agree to promptly reactivate your UAC as instructed by us when we expire our access to your computer.

Accurate Services LLC shall not be responsible for any failure occurred due to unforeseen circumstances or due to causes beyond Accurate Services LLC's reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, a large scale outbreak of a new computer virus, strikes, lockouts, or shortages of transportation, facilities, fuel, energy, labor or materials. You hereby release Accurate Services LLC from any and all liabilities and agree that Accurate Services LLC shall not be liable to you or any third party for any direct or indirect damages whatsoever, including any refund of Service Plan, resulting from such delays. Accurate Services LLC or its suppliers may, at any time, without notice or liability, restrict the use of the services or limit its time of availability in order to perform maintenance activities.

Termination and Cancellation of Services

All subscription-based service plans purchased on this website (“Service Plans”) are subject to termination or cancellation by Accurate Services LLC, at any time without prior notice. In the event of such termination or cancellation, a refund for the time remaining on such Service Plans will be refunded to you, on a pro-rata basis, through cheque sent to you within 30 days of such modification, termination or cancellation. Accurate Services LLC reserves the right to modify or enhance the procedures and/or features of its Service Plans to improve the quality of service, without prior notice to you.

Right to Refuse, Suspend or Terminate Service

AAccurate Services LLC reserves all rights to refuse, suspend or terminate service to any user for any reason we deem to do so, in our sole discretion, without any prior notice; for example, if we suspect that you are using a computer system in an improper or illegal manner. In the event of such refusal or termination, a refund for the time remaining on such Service Plans will be refunded to you, on a pro-rata basis, through cheque sent to you within 30 days of such modification, termination or cancellation.

Software

“Software” means a computer program of any kind, whether owned by or licensed to Accurate Services LLC or any third party, or delivered via download, CD, other media, or other delivery methods, including client and/or network security software. You thereby acknowledge that all Software available on or through this website, and all text, code, graphics, features and elements thereof are protected by copyright, against secret trade and unfair competition, and other lSWS. Copying, distribution, and use of any content displayed on this website, except pursuant to the license as set forth herein, is strictly prohibited.

Trademarks. Service Names, Service Marks, and other Intellectual Properties

Accurate Services LLC or its licensor or suppliers retains ownership of all proprietary rights of the services, this website, and of all trade names, trademarks and service marks associated or displayed within the services. You are not authorized to use our trademarks, name, or any aspect of our various elements of intellectual property in any manner, including advertising, publicity in any commercial or non-commercial nature without Accurate Services LLC’s explicitly written consent to the same.

Third Party Products

As part of the Services, Accurate Services LLC may suggest that you acquire, install and use certain third party software or services ("Third Party Software"). Third Party Software is licensed to you by the respective owners or licensees of the same. You must agree to the terms and conditions set forth by such owners or licensees before installing Third Party Software, whether or not Accurate Services LLC assists you in the acquisition, installation, and/or use of Third Party Software. Accurate Services LLC has no responsibility or rights to the Third Party Software and does not license Third Party Software to you or make any representation or warranty regarding the same.

To the extent that we provide technical assistance and support for Third Party Software or equipment, you must ensure that you comply with the terms and conditions under which you licensed such Third Party Software or purchased such equipment. We make no representation or warranty that we are an authorized service provider of Third Party Software or any other equipment. It is your sole responsibility to mention all the details regarding third party software for us to provide such support and for you to acquire such rights. You acknowledge that support of Third Party Software or equipment by an unauthorized service provider may void any warranty made by the supplier of such Third Party Software or equipment.

Non-Affiliation

The registrant and owner of the website Made by Accurate Services LLC(“Non-Affiliated Site”) are not affiliated with Accurate Services LLC in any way. Accurate Services LLC is therefore not responsible for anything and makes no representations or warranties of any content appearing on or offered by the Non-Affiliated Site.

Limitation of Liability

SOME STATES AND JURISDICTIONS INCLUDING MEMBER COUNTRIES OF THE EUROPEAN ECONOMIC AREA, DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. SO THE BELOW LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND REGARDLESS OF WHETHER ANY REMEDY SET FORTH HEREIN, Accurate Services LLC IN NO EVENT WILL BE LIABLE TO YOU FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT OR SIMILAR DAMAGES, INCLUDING ANY LOST GOODS OR LOST DATA ARISING OUT OF THE PROVISION OF SERVICES, EVEN IF "V DO SOLUTIONS" HAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO CASE SHALL Accurate Services LLC’s LIABILITY EXCEED THE GREATER OF (i) THE PRICE YOU PAID FOR THE SERVICES, AND (ii) FIFTY DOLLARS (India $50.00) OR EQUIVALENT AMOUNT IN THE APPLICABLE CURRENCY.

Indemnity

You agree to indemnify, defend, and hold Accurate Services LLC, its subsidiaries, affiliates, officers, directors, employees, agents, licensors, consultants, suppliers, and any third- party providers harmlessly from and against all claims, demands, actions, liabilities, losses, expenses, damages, and costs, including attorneys’ fees, resulting from your violation of the material terms of this Terms of Service Agreement, any misuse or abuse of a service, or any use of the service that amounts to infringement. You agree immediately to notify Accurate Services LLC of any unauthorized use of your account or any other breach of security known to you.

Severability and Non-Waiver

If any terms, provision or portion of this Agreement is held invalid or unenforceable by any court of competent jurisdiction, that term, provision or portion shall be enforced to the maximum extent possible, and all other terms and provisions contained in this Agreement shall remain in full force and effect. Accurate Services LLC’s failure to enforce any provision of this Agreement shall not be deemed as a waiver of such provision, nor of the right to enforce such provision.

Treasury Department's list of Specially Designated Nationals or the India Commerce Department's Denied Person List or any other denied parties lists under India Export LSWS. By accessing and/or using this website and the services, you agree to the foregoing and represent and warrant that you are not a national located in, or resident of, or under the control of, any restricted country; and you are not on any denied parties list thereby agreeing to comply with all India Export LSWS (including “anti-boycott”, “deemed export” and “deemed re-export” regulations). If you access this website or the services from other countries or jurisdictions, you do so at your own risk and you are responsible for compliance with the local lSWS of that jurisdiction, if and to the extent those local lSWS are applicable and do not conflict with India Export LSWS. Accurate Services LLC makes no representation or warranty that the content available on this website or the services are appropriate in every country or jurisdiction, and access to this website or the services from countries or jurisdictions where its content is illegal is prohibited. You are responsible for compliance with all local lSWS, rules and regulations.

Entire Agreement; Successors and Assigns; No Third-Party Beneficiaries This Agreement constitutes the entire agreement between you and Accurate Services LLC and governs your use of the services and Service Plans, superseding any prior version of this Agreement. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement shall be binding upon and inured to the benefit of the parties hereto and their respective heirs, successors, and assigns. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

Abuse Policy

eMinor Incorporated d/b/a Accurate Services LLC (together with its affiliates, successors, and assigns, hereinafter referred to as “Accurate Services LLC ”, “OUR”, “WE”, or “US”) have adopted this Abuse Policy (the “Abuse Policy”). The Abuse Policy applies to the website www. accurateservicesllc.com (the “Site”) to address claims of abuse. To balance the needs and interests of all of our users, we may prohibit content that does not meet the Site content standards outlined in this Abuse Policy. Please review these standards. They will help you understand what type of expression and content is acceptable, and what type of content may be reported and removed. If you believe the content or behavior you are reporting is prohibited in your local jurisdiction, please contact your local authorities so they can accurately assess the content or behavior for possible violations of local law. If Accurate Services LLC is contacted directly by law enforcement, we can work with them and provide assistance for their investigation.

TAKE THREATS SERIOUSLY

If you believe you are in physical danger, contact the local law enforcement authorities who have the tools to address the issue immediately! If you decide to work with law enforcement, make sure to do the following: 1. Document the violent or abusive content or messages with print-outs or screenshots; 2. Be as specific as possible about why you are concerned; 3. Provide any context you have around who you believe might be involved, such as evidence of abusive behavior found on other websites; 4. WHEN TO REPORT ABUSE

Simply because a user disagrees with or receives unwanted communication, such behavior does not necessarily constitute online abuse. Please utilize your account settings in order to control who can comment on your user profile and/or contact you. Only if two users are mutual fans of each other can they send and receive direct messages to each other. Acceptable Use Policy

The examples described in this Policy are not exhaustive. We may modify this Policy at any time by posting a revised version on the SWS Site. By using the Services or accessing the SWS Site, you agree to the latest version of this Policy. If you violate the Policy or authorize or help others to do so, we may suspend or terminate your use of the Services.

No Illegal, Harmful, or Offensive Use or Content You may not use, or encourage, promote, facilitate or instruct others to use, the Services or SWS Site for any illegal, harmful, fraudulent, infringing or offensive use, or to transmit, store, display, distribute or otherwise make available content that is illegal, harmful, fraudulent, infringing or offensive. Content or other computer technology that may damage, interfere with, surreptitiously intercept, or expropriate any system, program, or data, including viruses, Trojan horses, worms, time bombs, or cancel bots.

Copyright and DMCA Policy

Section 512 of the Digital Millennium Copyright Act (“DMCA”) outlines the statutory requirements necessary for formally reporting copyright infringement, as well as providing instructions on how an affected party can appeal a removal by submitting a compliant counter-notice. Accurate Services LLC. (“Accurate Services LLC Pvt . Ltd”) may, in its sole discretion, disable and/or terminate use by users who infringe the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, please provide a Notice to the Accurate Services LLC Pvt . Ltd Designated Agent at [email protected], with the following text in the subject line: “Accurate Services LLC Pvt . Ltd DMCA,” and containing the following information: (a) a description of the copyrighted work that has been infringed and the specific location on the Services where such work is located; (b) a description of the location of the original or an authorized copy of the copyrighted work; (c) your address, telephone number and e-mail address; (d) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent or the law; (e) a statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf; and (f) an electronic or physical signature of the owner of the copyright or the person authorized to act on behalf of the owner of the copyright interest. Accurate Services LLC Pvt . Ltd will review each notice of alleged infringement it receives and will take appropriate actions as required by the DMCA and other applicable intellectual property laws. If you created or posted any content that you believe was removed (or to which access was disabled) due to an allegation of copyright infringement and you believe the content is not infringing or that you have authorization from the copyright owner, the copyright owner’s agent, or pursuant to the law, to post and use the content, you may send a counter-notice containing the following information to the Designated Agent: (i) your physical or electronic signature; (ii) identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled; (iii) a statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and (iv) your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in New York, New York, and a statement that you will accept service of process from the person who provided notification of the alleged infringement. If a counter-notice is received by the Designated Agent, Accurate Services LLC Pvt . Ltd may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, registrant or user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at Accurate Services LLC sole discretion.
